PHASESTATION END USER LICENSE AGREEMENT (EULA)

This agreement is between you and Isaiah Texiera, doing business as PHASESTATION ("PHASESTATION", "we", "us"). It covers the PHASESTATION software: the VST3 plugin, the standalone app, the installers, updates, presets, skins and other content inside it (the "Software").

By installing or using the Software you agree to this EULA. If you don't agree, don't install or use it. If you bought FULL and don't agree, contact [email protected] before activating.

1. Two editions

• LITE is free. You may install and use it on any number of computers you use.
• FULL is a paid license. It unlocks everything listed on phasestation.com when you activate it with the license key from your purchase email.
• The same installer contains both. It runs as LITE until a FULL key is activated.

2. What you get (the license)

• FULL: a personal, non-exclusive, non-transferable license to install and use the Software on up to 3 computers that you own or use, at the same time. You can move the license by deactivating a computer (SYSTEM > LICENSE > DEACTIVATE) and activating another. If you can't reach an old computer, email support and we can reset your spots.
• LITE: a personal, non-exclusive, non-transferable license to use LITE, free of charge.
• Studios and schools: one FULL license is for one person. Ask us about other setups.
• We keep all rights we don't expressly give you. The Software is licensed, not sold.

3. Your music is yours

Audio you make or process with the Software belongs to you. You may use it in any personal or commercial work (releases, streams, sync, client work, beat sales) royalty-free, with no credit required. This doesn't give you rights in the Software itself, its presets, skins, artwork or characters as standalone files.

4. What you can't do

• Share, sell, rent, lend, sublicense or give away your license key, license file or the FULL Software.
• Resell or redistribute the Software, its installers, presets, skins, artwork or the STARZY character, on their own or in a bundle.
• Crack, bypass or remove the license check or the LITE limits, or help anyone do so.
• Use or export the Software in breach of US export or sanctions laws.
• Reverse engineer, decompile or disassemble the Software, except where the law where you live allows it despite this rule.
• Use the Software to break the law or infringe anyone's rights.

5. LITE limits

LITE has these limits, which are also listed on the download page:

• 2 of the eras
• 5 screen views
• 2 save slots
• the starter presets
• 30 minutes of game-controller play per day

The 30 minutes count only while you're actively using a controller. Mouse and on-screen controls are never limited. LITE never adds watermarks, noise or time limits to the sound. To enforce the daily controller limit, LITE keeps a small signed record of today's controller time on your computer (see section 8).

6. Updates and the update check

• While it's open, the Software checks phasestation.com for a newer version when it starts and every few minutes after that. It reads one small file (update.json) and sends no personal information.
• When an update exists, the Software tells you. Nothing is downloaded or installed until you choose to. Updates come only from phasestation.com over HTTPS. Each one is checked against a SHA-256 fingerprint and a digital signature before it opens.
• FULL includes free updates to PhaseStation 2026. We may also offer paid upgrades or new products later, which you're never required to buy.
• We may add, change or remove features in updates. We won't use an update to take away the core features of a FULL license you paid for.

7. Usage stats (anonymous check-ins)

• By default the Software sends a small anonymous check-in when it opens and about every 10 minutes while it's open.
• The check-in contains:
• a random number the Software created for itself (not tied to your name, email, license or computer)
• the version
• LITE or FULL
• your operating system
• whether it runs in a DAW or on its own
• It never contains your audio, projects, files, name or email.
• Your country is estimated from the connection. Your IP address is not stored.
• You can turn this off at any time in SYSTEM > USAGE STATS. When it's off, nothing is sent. Starting with the next update, the Software asks on first launch whether to send them, and nothing is sent until you choose.

8. What the Software stores on your computer

The Software saves the following in its own folders (e.g. %APPDATA%\PHASESTATION, %LOCALAPPDATA%\PHASESTATION) and, on Windows, in the registry key HKEY_CURRENT_USER\Software\PHASESTATION:

• your settings, progress, skins and saves
• your license file (which includes the name and email from your purchase)
• the anonymous usage-stats number
• LITE's daily controller time

This data stays on your computer and isn't sent anywhere, except as described in sections 6, 7 and 9. Uninstalling removes the program. Your settings and progress are kept so a reinstall picks up where you left off; to remove them, delete the PHASESTATION folders and registry key above (a one-click option is coming to the uninstaller). The Software never reads, changes or deletes files outside its own folders, except for:

• the files you choose to open or import
• update installers you choose to download, which go to your Downloads folder

9. Activation

When you activate FULL, the Software sends us:

• your license key
• a code for your computer (a scrambled ID, not your name or files)
• your computer's name
• your operating system

We use these only to check the key and count your computers. After activation the license works offline. If you have no internet on that computer, you can activate through the offline page on phasestation.com.

10. Refunds, chargebacks and turning keys off

Payments are processed by Stripe Managed Payments: its affiliate Sold through Link, LLC ("Link") acts as merchant of record for the payment and handles sales tax/VAT. We remain the seller and licensor of the Software. Refunds follow the Refund Policy at phasestation.com/refunds. If a purchase is refunded or charged back, its license key is turned off and can't be activated again, and your FULL license ends (section 14).

11. Third-party components

The Software includes third-party components under their own licenses. These are listed in the THIRD-PARTY NOTICES file installed with the Software and on phasestation.com/notices. Those licenses apply to those components. VST is a registered trademark of Steinberg Media Technologies GmbH. PHASESTATION isn't affiliated with, endorsed by or sponsored by any game-console or controller maker. Any controller names on our site only describe compatibility.

12. No warranty

To the extent permitted by law, the Software is provided "as is" and "as available", without warranties of any kind, express or implied. That includes merchantability, fitness for a particular purpose and non-infringement. We don't promise it will be error-free or work with every computer, DAW or controller. That's why LITE exists: please try it first. Back up your projects.

13. Limitation of liability

To the extent permitted by law:

• We're not liable for indirect, incidental, special or consequential damages, or for lost data, projects, profits or income.
• Our total liability for any claim about the Software is limited to the amount you paid for it (or US $0 for LITE).

Nothing in this EULA excludes or limits any liability that can't be excluded or limited under applicable law, including your statutory rights as a consumer (for example under EU or UK consumer law, where digital content must be as described and fit for purpose) and liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

If you are a consumer in the EU or UK: sections 12 and 13 apply only as far as your local law allows, and you keep your statutory remedies for faulty digital content.

14. Termination

This license ends automatically if you break it. When it ends, you must stop using the Software and delete it. We may turn off a FULL key that was obtained by fraud, refunded or charged back, or shared in breach of section 4. Sections 3, 4, 12, 13 and 15 survive termination.

15. Governing law

• This EULA is governed by the laws of the Commonwealth of Massachusetts, USA, without regard to conflict-of-law rules.
• Disputes go to the state and federal courts located in Massachusetts.
• This choice of law doesn't deprive consumers of the protection of the mandatory laws of their country of residence, or of their right to go to their local courts.

16. Changes and contact

We may update this EULA for future versions. The version shown in the installer or on phasestation.com/eula when you install or update applies to that version.
